All orders placed through Towinchip, including excess inventory product orders and orders placed through embedded online stores promoted under other brand names, are subject to these Order Conditions. Any change requests submitted by the buyer in other documents are explicitly rejected.

When you submit an order, we may verify your payment method, shipping address, and tax exemption identification number if applicable before processing. Towinchip reserves the right to accept an order by processing payment and shipment or to reject the order or any part of it for any reason.

Quantity Limits

Towinchip reserves the right to limit or cancel purchasable quantities of any order at any time and may change the availability or validity of special offers at any time. If an order is rejected after payment, Towinchip will refund the amount paid, excluding interest.

Electronic Communication

When placing an order through the website, you must provide a valid email address to receive order status updates, out-of-stock product recommendations, and other notifications. Towinchip is not responsible for losses caused by invalid email addresses, spam filters, or other email delivery issues beyond our control.

Pricing and Product Information

Towinchip strives to provide current and accurate product and pricing information but does not guarantee its accuracy or completeness. Product information and prices may change at any time before Towinchip accepts and processes your order. All prices are in U.S. dollars.

Order Usage Terms

• Most orders placed with Towinchip are final.
• If products have not been shipped, you may contact customer service to request changes to order details.
• Once an order is registered, it may not be canceled unless otherwise agreed.

Handling Fees

Towinchip does not set a minimum order quantity or any handling fees.

Order Cancellation Fees

• PayPal or Credit Card: There are no handling fees for refunds, but customers may bear currency exchange or transaction fees.
• E-check: Different banks may charge refund processing fees, and customers may bear international transaction fees.

Shipping

Customers can choose carriers such as FedEx, UPS, and DHL at checkout. Shipping and tracking information, including air waybill numbers, will be provided for each shipment.

VAT and Other Taxes

Depending on customs laws of the destination country, you may need to pay shipping taxes, VAT, port handling fees, and other customs fees. These taxes and fees are not included in the online order price and may be charged directly by global carriers during international shipping.

Registration, Order Validity, and Order Acceptance

Placing an order indicates your agreement to purchase products from Towinchip. Towinchip may accept your order depending on product availability and these order terms. Product delivery constitutes order acceptance.

Minimum Order Amount, Shipping, and Shipping Fees

Please provide accurate recipient names, addresses, and contact information. You are responsible for delays or non-delivery caused by incorrect or incomplete information or no one being available to sign for the goods.

Delayed Payment

If you fail to pay amounts due on time, you must cover all costs incurred by Towinchip in recovering these amounts, including litigation fees, recovery fees, and attorney fees.

Handling Out of Stock

If ordered goods are out of stock, you may choose to delay shipment, batch shipment, or cancel the out-of-stock goods order. If delayed or batch-shipped goods are not shipped within the agreed time, that batch may be canceled.

Damaged Goods

If goods are damaged during transportation, please retain the shipping carton, packaging materials, and damaged parts. Contact Towinchip customer service immediately to file a claim.

Return, Exchange, or Restocking Policy

Towinchip will accept returns under the following terms and provide exchanges or refunds. Items purchased directly from third parties, not Towinchip, are not eligible for return, refund, or exchange.

Return Handling Process

• Return Authorization Number: Before returning any product, you must obtain an RMA number.
• Return Period and Conditions: For returns not related to manufacturer warranties, returns must be made within 60 days of the invoice date.
• Original Packaging: Products must be in their original packaging and resalable condition.
• ESD Sensitive Devices: All returned ESD-sensitive devices will be inspected according to applicable ESD standards.
• Shipping Fees: Return shipping must be prepaid or deducted from the invoice amount as described in the RMA process.
• Non-Cancelable or Non-Returnable Products: Products specially sourced for you may be non-cancelable or non-returnable.
• Manufacturer Warranty Returns: Returns related to manufacturer warranties are subject to the manufacturer's warranty terms and return policies.

Return and Exchange Handling

For products delivered incorrectly, in the wrong quantity, or with shipping errors due to Towinchip's fault, you must apply for returns or exchanges within seven days of receiving the goods.

Please provide the following information:

• Original invoice number and order number
• Product labels
• Physical photos of the problematic products
• A brief explanation of the return or exchange reason

For products with quality defects, you must apply for returns within 365 days of receiving the products. If the quality issue cannot be shown through photos, please provide detailed testing methods.

Return Shipping Fees

For products returned due to Towinchip's fault, including incorrect products, incorrect quantities, quality defects, or shipping errors, Towinchip will bear the return shipping costs. Return shipping fees must be prepaid and will be refunded later.

Counterfeit Products Declaration

By returning any product to Towinchip or the supplier, you declare and warrant that the returned products were purchased through Towinchip's website and are not counterfeit or non-compliant. Counterfeit products are not eligible for return, refund, or exchange.

If returned products are suspected or determined to be counterfeit or non-compliant, Towinchip or the supplier may:

• Report to relevant government or regulatory agencies.
• Isolate the products for further testing or analysis.
• Provide no replacement products or refunds until compliance is determined.
• Destroy counterfeit products as required by applicable laws.
• Take other measures required or allowed by applicable laws and anti-counterfeit policies.

Simplified Return Process

• Contact Towinchip's RMA representative and provide a copy of the original purchase order and a brief description of the return issue.
• The RMA number is valid for 30 days from issuance.
• Returned products must remain in original packaging and labels, free from physical damage, ESD damage, or moisture exposure.
• The RMA number must be clearly written on the outside of the shipping carton.
• For quality defect returns, third-party testing may be required before refunds or credits are issued.

Force Majeure

Towinchip shall not be liable for delays in delivery or failure to perform obligations due to causes beyond its reasonable control. These causes include, but are not limited to, product allocation, material shortages, labor disputes, transportation delays, unforeseen circumstances, natural disasters, third-party actions or omissions, government priorities, fire, strikes, floods, severe weather, computer failures, terrorism, epidemics, quarantine restrictions, riots, or war.

In such cases, Towinchip's delivery or performance time shall be extended accordingly, or Towinchip may cancel any order or remaining part thereof by notifying you without liability.

Modification of Order Conditions

Towinchip reserves the right to modify these order conditions at any time without prior notice. You should review and comply with the latest order conditions before purchasing products, as well as all applicable laws, regulations, and contractual provisions related to product purchase, sale, labeling, and storage.

Export Use Terms

Products sold by Towinchip and its subsidiaries or affiliates are not intended for use in life support systems, human implants, nuclear facilities or systems, or other applications where product failure could reasonably be expected to result in personal injury, loss of life, or catastrophic property damage.

By ordering these products, you agree not to use them for such applications. The buyer guarantees that they will be the ultimate recipient of the delivered products and acknowledges that the products are subject to export and/or import control laws and regulations of various countries.

If you breach this agreement, you agree to indemnify and hold Towinchip harmless from any loss, cost, or damage arising from such breach, including:

• Usage Risks: The buyer acknowledges that such use or sale is at the buyer's own risk.
• Liability Limitation: The buyer agrees that the seller and manufacturer are not liable for claims or damages arising from such use.
• Indemnification Obligations: The buyer agrees to indemnify, defend, and hold harmless the seller and manufacturer from claims, damages, losses, costs, expenses, and liabilities arising from such use or sale.

General Provisions for Order Conditions

These order conditions constitute the complete agreement between the parties regarding the subject matter of these terms. Towinchip's waiver of any breach or failure to perform obligations does not constitute a waiver of any previous or subsequent breaches or failures.

If any part of these order conditions is found invalid or unenforceable, the validity of the remaining parts shall not be affected. These order conditions do not create any joint venture, partnership, employment, or agency relationship between you and Towinchip or its suppliers.

Changes to Terms of Use

Towinchip reserves the right to modify these Terms of Use at any time without prior notice. Before accessing, browsing, using the website, or interacting with any software, programs, or services on the website, you are responsible for reviewing the current Terms of Use.

If the Terms of Use change, your continued use of the website, services, or content indicates your agreement to the new terms. Any changes or updates will be reflected in the Last Modified Date.

Applicable Version

In the event of any discrepancies between the English version of these order conditions and any versions in other languages, the English version shall prevail.
